Are you a seasoned Corporate Securities Lawyer with 10+ years of experience advising clients on public and private offerings, continuous disclosure, and regulatory compliance? Our client, a leading business law firm in Toronto, is seeking a Senior Corporate Securities Associate to join its respected securities and capital markets practice.
This is a hybrid role offering high autonomy, strategic advisory work, and exposure to significant transactions involving both public and private issuers, startups, investment funds, and institutional clients.
🔍 Key Responsibilities:

Advise on public offerings, private placements, exempt market transactions, and IPOs

Prepare and review prospectuses, offering memoranda, subscription agreements, and other capital-raising documentation

Ensure compliance with National Instruments, TSX/TSXV/CSE rules, and OSC/CSA requirements
-
Advise on continuous disclosure obligations, insider reporting, corporate governance, and securities regulatory filings
-
Structure and advise on M&A transactions involving public companies
-
Liaise with investment bankers, underwriters, regulators, and external advisors
-
Mentor junior associates and contribute to client development and thought leadership initiatives
✅ Qualifications:
-
10+ years of securities and corporate law experience in a mid- to large-size law firm or securities boutique
-
Member in good standing with the Law Society of Ontario

Extensive knowledge of NI 45-106, NI 51-102, NI 81-102, and other relevant regulatory frameworks
-
Proven ability to lead transactions and deliver practical, business-focused legal advice

Strong drafting, negotiation, and client-facing skills
-
Experience advising on both public and private issuer matters
