We are seeking an experienced and knowledgeable Securities Lawyer to join our law firm in Calgary. The successful candidate will play a key role in advising clients on securities law matters, including public offerings, private placements, regulatory compliance, and corporate governance. This position requires a deep understanding of securities regulations and the ability to provide strategic legal advice in a dynamic business environment.
Key Responsibilities:
Advise clients on a broad range of securities law matters, including compliance with provincial and federal securities regulations.
Represent clients in securities transactions, such as initial public offerings (IPOs), private placements, and mergers and acquisitions.
Assist clients with regulatory filings and compliance with the Alberta Securities Commission and other regulatory bodies.
Provide legal advice on corporate governance, disclosure obligations, and other corporate securities law matters.
Draft and negotiate securities-related agreements and documents.
Stay current with changes in securities laws and regulations and advise clients accordingly.
Work collaboratively with other members of the legal team and contribute to business development activities.
Qualifications:
Juris Doctor (JD) or equivalent law degree from an accredited law school.
Licensed to practice law in Alberta.
8+ years of experience in securities law, with a strong understanding of the Canadian securities regulatory landscape.
Experience with public offerings, private placements, and securities regulatory compliance.
Excellent analytical, negotiation, and communication skills.
Ability to handle complex legal issues and provide practical legal advice.
Strong commitment to client service and ethical conduct.
