We are seeking an experienced and knowledgeable Securities Lawyer to join our law firm in Calgary. The successful candidate will play a key role in advising clients on securities law matters, including public offerings, private placements, regulatory compliance, and corporate governance. This position requires a deep understanding of securities regulations and the ability to provide strategic legal advice in a dynamic business environment.


Key Responsibilities:

  • Advise clients on a broad range of securities law matters, including compliance with provincial and federal securities regulations.

  • Represent clients in securities transactions, such as initial public offerings (IPOs), private placements, and mergers and acquisitions.

  • Assist clients with regulatory filings and compliance with the Alberta Securities Commission and other regulatory bodies.

  • Provide legal advice on corporate governance, disclosure obligations, and other corporate securities law matters.

  • Draft and negotiate securities-related agreements and documents.

  • Stay current with changes in securities laws and regulations and advise clients accordingly.

  • Work collaboratively with other members of the legal team and contribute to business development activities.

Qualifications:

  • Juris Doctor (JD) or equivalent law degree from an accredited law school.

  • Licensed to practice law in Alberta.

  • 8+ years of experience in securities law, with a strong understanding of the Canadian securities regulatory landscape.

  • Experience with public offerings, private placements, and securities regulatory compliance.

  • Excellent analytical, negotiation, and communication skills.

  • Ability to handle complex legal issues and provide practical legal advice.

  • Strong commitment to client service and ethical conduct.
